(NASDAQ:VSGN; TSX:VAS), a developer of immune modulation therapies for the treatment of cardiovascular disease and other chronic inflammatory disorders, today announced that its previously announced public offering has been priced at US$5.90 per common share in the United States and Cdn$7.92 per common share in Canada. The offering consists of 8,500,000 common shares, which is an upsizing from the previously announced offering size of 8,000,000 common shares. All common shares will be offered by the Company. The gross proceeds from the offering will be approximately US$50 million. Needham & Company, Inc. and RBC Capital Markets are lead managers for the offering, with A.G. Edwards & Sons, Inc. acting as a co-manager. The offering is expected to close on or about March 4, 2004. The Company has granted to the underwriters an option for 30 days to purchase up to an additional 1,275,000 common shares to cover over-allotments, if any. Vasogen intends to use the proceeds from the offering to advance the research and commercial development of Celacade™ (immune modulation therapy), to further fund its new drug development pipeline, including VP025, and for general corporate purposes.
